These Terms & Conditions (“Terms”) govern your access to and use of the RepairBench repair-shop management software and website (the “Service”), provided by RepairBench (“RepairBench”, “we”, “us” or “our”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and accounts
You must be at least 18 years old and able to enter a binding contract. You are responsible for the accuracy of your account details, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
2. Subscriptions, fees and billing
- The Service is offered on subscription plans described on our pricing page. Fees are in Australian dollars and, where applicable, include or attract GST.
- Where a free trial is offered, it converts to a paid subscription at the end of the trial unless cancelled beforehand.
- Subscriptions renew automatically for successive periods until cancelled. You authorise us (and our payment provider) to charge your nominated payment method for recurring fees.
- We may change our fees on reasonable notice; changes take effect at your next renewal.
- You may cancel at any time, effective at the end of your current billing period. Except where required by law, fees already paid are non-refundable.
3. Your data and responsibilities
You retain all rights to the data you enter into the Service (“Your Data”), including information about your own customers. You grant us a licence to host, process and back up Your Data solely to provide and support the Service. You are responsible for the accuracy of Your Data and for ensuring you have the necessary rights and consents to collect and use information about your customers, and to send them communications (such as review requests, quotes and updates) through the Service. You are responsible for keeping your own copies/backups of critical records.
4. Acceptable use
You agree not to misuse the Service, including by: breaking any law; infringing others’ rights; sending unlawful, deceptive or unsolicited messages; uploading malicious code; attempting to gain unauthorised access; reverse-engineering or reselling the Service without our permission; or using it in a way that harms the Service or other users.
5. Availability and support
We work to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We may perform maintenance, and features may change over time. We do not warrant that the Service will be uninterrupted or error-free.
6. Intellectual property
The Service, including its software, design and content (excluding Your Data), is owned by RepairBench and its licensors and is protected by law. We grant you a non-exclusive, non-transferable right to use the Service in accordance with these Terms for the duration of your subscription.
7. Consumer guarantees
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law that cannot lawfully be excluded. Where our liability for failing to comply with such a guarantee can be limited, our liability is limited (at our option) to re-supplying the Service or paying the cost of having it re-supplied.
8. Limitation of liability
To the maximum extent permitted by law, and subject to section 7, RepairBench is not liable for any indirect, incidental or consequential loss, or for loss of profits, revenue or data, arising from your use of the Service. Our total liability arising out of or in connection with the Service is limited to the fees you paid us in the twelve months before the event giving rise to the liability.
9. Indemnity
You agree to indemnify us against claims, losses and costs arising from Your Data, your breach of these Terms, or your breach of any law or third-party rights in connection with your use of the Service.
10. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that poses a risk to us or others. On termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period, after which we may delete it in line with our Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
